1. Agreement
These Terms of Service (“Terms”) govern your access to and use of ReconAxis, provided by [Legal Entity Name] (“we”, “us”). By creating an account or using the service you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you are authorized to do so.
2. The service
ReconAxis provides reconciliation software for trades, positions and cash. We may update, improve or modify features over time. We provide the service on a subscription basis as described at sign-up.
3. Accounts & acceptable use
You are responsible for the security of your credentials and for activity under your account. You agree not to misuse the service, attempt to breach its security, reverse engineer it, or use it to violate law or the rights of others.
4. Customer data
You retain all rights to the data you upload or connect. You grant us the limited rights needed to host and process that data to provide the service. Our handling of personal data is described in our Privacy Policy.
5. Fees
Paid plans are billed in advance on the cycle you select and are non-refundable except where required by law. We may change pricing with notice; changes apply at your next renewal.
6. Confidentiality
Each party will protect the other’s confidential information and use it only to perform under these Terms.
7. Warranties & disclaimer
The service is provided on an “as is” and “as available” basis. ReconAxis is a decision-support tool; it does not replace your firm’s own controls, review or professional judgment, and we do not warrant that reconciliations will be error-free.
8. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect or consequential damages, and our aggregate liability is limited to the fees you paid for the service in the 12 months preceding the claim.
9. Term & termination
Either party may terminate for material breach not cured within 30 days. On termination your right to use the service ends and we handle your data as described in the Privacy Policy.
10. Governing law
These Terms are governed by the laws of [Jurisdiction], without regard to conflict-of-laws rules.
